Fund manager's handbook to the Singapore VCC

Launching and running a fund in a Singapore VCC, strategy by strategy

For fund managers, emerging GPs, COOs and compliance leads: how private equity, venture, hedge, real estate, private credit and tokenised funds use a Variable Capital Company, from licence checks and first close to NAV, reporting and moving a fund from Cayman. Rules are cited to MAS, ACRA and IRAS documents with dates; market practice is labelled as such and carries no fee or return figures.

What a VCC means for a fund manager

A Variable Capital Company (VCC) is a Singapore corporate vehicle for investment funds, registered with ACRA and managed by a fund manager regulated by MAS. For a manager, its value is that one legal entity, one board and one set of service providers can carry open-ended and closed-end strategies in segregated sub-funds. What it does not do is approve a fund, guarantee a tax outcome or replace the manager's own licence.

01

Strategy first

PE and VC funds are usually closed-end with capital calls; hedge funds are open-ended with dealing days; real estate, private credit and tokenised funds each add their own rules.

02

Manager licence

The manager must be regulated by MAS: a retail or A/I licensed fund management company, or a VCFM for venture funds meeting MAS's tests. MAS expects up to six months to review complete applications.

03

Sub-fund economics

Fees are charged on committed capital, invested capital or NAV; costs sit at VCC or sub-fund level; 13O/13U local spending, from S$200,000 a year, acts as a cost floor.

04

Investors and KYC

Professional offers usually run as restricted schemes notified via CISNet; an eligible financial institution performs investor due diligence under MAS Notice VCC-N01.

05

Operations and NAV

MAS expects independent custody and independent valuation for licensed managers; the annual audit on its own does not meet the valuation requirement.

06

Calendar and moves

ACRA, IRAS, MAS and investor deadlines recur every year; a Cayman corporate fund can re-domicile, but must file proof of deregistration within 60 days of ACRA approval.

Who this site is for

  • Emerging GPs raising a first private equity or venture fund, who need to know whether the VCFM route or a full licence fits and what a closed-end VCC involves.
  • Hedge fund managers planning an open-ended umbrella or master-feeder structure, with dealing cycles, liquidity tools and prime-broker custody to design.
  • Real estate and private credit managers checking which assets count as designated investments and how committed capital affects the tax schemes.
  • Managers of Cayman corporate funds weighing the steps and timing of re-domiciling into Singapore as a VCC.
  • COOs, CFOs and compliance leads who need a responsibility map, NAV process and recurring deadline checklist for a VCC fund.
  • Lawyers, administrators and auditors who want a neutral, dated reference to share with fund manager clients.

Selected questions

What does a VCC offer a fund manager that an ordinary private company does not?

A Variable Capital Company is a Singapore corporate vehicle designed for collective investment schemes, so it removes several frictions an ordinary company creates for a fund. ACRA lists the main features: a VCC can issue and redeem shares without shareholder approval, and can pay dividends out of capital as well as profits (ACRA, Step 1, 29 January 2026). An umbrella VCC can hold several sub-funds whose assets and liabilities are ring-fenced from one another while sharing one board and one service-provider panel. Its register of members need not be made public, although public authorities can ask for it. In return, a VCC must appoint a fund manager regulated by MAS, an auditor and a company secretary, and must be used as an investment fund rather than as an operating business. The overview walks through the full fund lifecycle.

Does MAS approve a VCC or its sub-funds?

Not in the sense the word "approved" usually implies. ACRA registers the VCC and each sub-fund; MAS regulates the fund manager and supervises the VCC's anti-money-laundering obligations. If a sub-fund is offered as a restricted scheme, the manager notifies MAS through CISNet before the offer and the scheme is entered on MAS's list of restricted schemes. That is a notification, not a review of the fund's merits. Only schemes offered to retail investors go through MAS authorisation (if constituted in Singapore) or recognition (if constituted outside Singapore), together with a registered prospectus (MAS, Offers of Collective Investment Schemes, 5 October 2026). Fund documents and marketing should describe status precisely, for example "the manager holds a capital markets services licence for fund management", and should avoid shorthand such as "MAS-approved fund".

Do I need a licensed fund manager in place before incorporating a VCC?

Yes. ACRA's registration filing asks for the manager's details and a signed declaration, and every VCC must appoint a permissible fund manager. ACRA's Step 2 page (29 January 2026) lists a fund management company holding a capital markets services (CMS) licence for fund management and financial institutions exempt from licensing under SFA s99(1)(a) to (d), such as banks. The same page still lists registered fund management companies, but MAS repealed that regime on 1 August 2024 (MAS FAQs, 25 April 2024), so a new manager would normally be licensed; check the current text of the VCC Act on Singapore Statutes Online. MAS says it expects to take up to six months to review a complete licence application, so a new manager normally sequences the licence ahead of the fund. A team without its own licence can appoint an existing licensed manager instead, an arrangement the market often calls a third-party or platform manager.

How long does it take to launch a VCC fund?

There is no fixed timetable, and the critical path is usually the manager licence, bank accounts and documents rather than ACRA. The official indicators are: MAS expects to take up to six months to review a complete fund management licence application (MAS, Fund management licensing); ACRA says VCC registrations take 14 to 60 days to approve, including any referral to other authorities (ACRA, Step 5a, 19 October 2026). A restricted-scheme notification through CISNet must be in place before the offer. Account opening and investor KYC depend on banks and the eligible financial institution and usually run in parallel with ACRA registration. A manager that already holds a licence and has a service-provider panel can move faster than a first-time GP. The nine-step process page sets out the sequence, documents and owners. All timings are indicative and depend on the completeness of filings.

Should I start with an umbrella or a standalone VCC?

An umbrella suits a manager that expects to add strategies, vintages or investor groups needing separate portfolios; a standalone VCC suits a single fund with no plan to add more. In an umbrella, each sub-fund is registered with ACRA (S$400 each) and the VCC Act ring-fences its assets and liabilities, so one sub-fund's creditors cannot be paid from another's assets. Sub-funds can share one board and service-provider panel, which spreads fixed costs. For tax, IRAS treats the umbrella as a single entity filing one set of returns, and MAS treats an umbrella fund as one entity for a 13O or 13U award, with local business spending counted across all sub-funds (MAS FDD Cir 05/2026). A standalone VCC is simpler to explain to investors and auditors but needs a new VCC for each new fund. Strategy-level design choices are compared on compare.
